1. Introduction and Acceptance of Terms

Welcome to BoardSpace. These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("you," "your," "User") and BoardSpace ("we," "us," "our," "Company") governing your access to and use of our AI-powered visual learning platform, including our website, applications, and all related services (collectively, the "Service").

BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page, updating the "Last updated" date, and/or sending you an email notification. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

2. Eligibility

2.1 Age Requirements

You must be at least 13 years of age to use the Service. If you are between 13 and 18 years of age (or the age of legal majority in your jurisdiction), you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.

By using the Service, you represent and warrant that you meet the applicable age requirements and have the legal capacity to enter into this Agreement.

2.2 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. We reserve the right to suspend or terminate accounts that contain inaccurate or incomplete information.

3. Description of Service

3.1 What BoardSpace Provides

BoardSpace is an AI-powered educational platform that provides visual learning experiences through interactive whiteboard-style explanations. Our Service includes:

  • Real-time visual lessons: AI-generated whiteboard explanations on topics you request
  • Document-based learning: Upload PDF, Word (DOCX), PowerPoint (PPTX), or image files (PNG, JPEG, WebP, GIF) to generate personalized lessons from your materials
  • Interactive Q&A: Ask questions during lessons and receive AI-generated responses
  • Lesson playback: Pause, rewind, and replay lessons at your own pace
  • Timeline controls: Navigate through lesson content using the playback timeline

3.2 Service Availability

While we strive to provide continuous service, we do not guarantee that the Service will be available at all times. The Service may be temporarily unavailable due to maintenance, updates, technical issues, or circumstances beyond our control. We will make reasonable efforts to notify users of planned maintenance.

3.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. This includes adding new features, changing existing features, or removing features. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

4. Account Registration and Security

4.1 Account Creation

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your registration information
  • Create a strong password and keep it confidential
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree not to share your password or account access with others. We are not liable for any loss or damage arising from your failure to protect your account credentials.

4.3 One Account Per Person

Each individual may only create and maintain one account. Creating multiple accounts to circumvent usage limits, exploit promotions, or for any other reason is prohibited and may result in termination of all accounts.

5. Subscriptions, Credits, and Payments

5.1 Subscription Plans

BoardSpace offers the following subscription tiers:

  • Free (Trial): 150 credits (one-time), up to 5 document uploads total. No credit card required.
  • Starter ($6/month): 300 credits per month, up to 70 document uploads per month
  • Scholar ($18/month): 1,200 credits per month, unlimited document uploads

Subscription features and pricing are subject to change. We will provide reasonable notice of any pricing changes to existing subscribers.

5.2 Credit System

Our Service uses a credit-based system for lesson generation. Important terms regarding credits:

  • Credits are consumed when lessons are generated and during interactive Q&A
  • Credits do not roll over: Unused credits from paid subscriptions expire at the end of each billing cycle
  • Free trial credits are provided as a one-time grant and do not renew
  • Credit consumption may vary based on lesson complexity and length
  • We reserve the right to adjust credit costs for different features

5.3 Credit Packs

In addition to subscription plans, you may purchase one-time credit packs to supplement your credits:

  • Credit packs are available for purchase at any time, regardless of your subscription tier
  • Credits purchased as packs are added to your available balance immediately
  • Credit pack pricing is subject to change; current pricing is displayed in your account settings
  • Purchased credits do not expire as long as your account remains active
  • Credit pack purchases are non-refundable

5.4 Billing and Payment

Paid subscriptions are billed in advance on a monthly recurring basis. By subscribing to a paid plan, you agree to:

  • Pay all applicable fees in full and on time
  • Provide valid payment information
  • Authorize us (or our payment processor) to charge your payment method on a recurring basis
  • Pay all applicable taxes in addition to the subscription price

5.5 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation:

  • Your subscription will remain active until the end of the current billing period
  • You will retain access to paid features until the end of your current billing period
  • No automatic renewal will occur after the current period ends
  • Any remaining credits will expire at the end of the current billing period

5.6 Refunds

Refund requests are evaluated on a case-by-case basis. We may, in our sole discretion, provide refunds in the following circumstances:

  • Technical issues that significantly impaired your ability to use the Service
  • Billing errors or duplicate charges
  • First-time subscriptions cancelled within 7 days (pro-rata refund may be issued)

Refunds are not guaranteed and are at our discretion. To request a refund, contact billing@useboardspace.com.

5.7 Price Changes

We reserve the right to change our subscription prices. For existing subscribers, price changes will take effect at the start of the next billing cycle following notice of the change. Continued use of the Service after a price change constitutes acceptance of the new pricing.

6. Referral Program

6.1 Program Overview

We offer a referral program that rewards users for inviting others to BoardSpace. By participating in the referral program, you agree to these terms:

  • You will receive a unique referral code that you may share with others
  • When someone signs up using your referral code and subscribes to a paid plan (Starter or Scholar), both you and the referred user may receive bonus credits
  • Referral rewards are subject to change and may be modified or discontinued at any time

6.2 Prohibited Referral Activities

The following activities are prohibited and may result in disqualification from the referral program, forfeiture of rewards, and/or account termination:

  • Self-referral or creating multiple accounts to obtain referral bonuses
  • Sharing referral codes on coupon websites, deal forums, or unauthorized marketing channels
  • Using paid advertising to promote your referral code
  • Spam or unsolicited distribution of referral codes
  • Any fraudulent or deceptive practices to obtain referral rewards

6.3 Referral Program Changes

We reserve the right to modify, suspend, or terminate the referral program at any time without prior notice. Pending rewards may be forfeited upon program termination if obtained through prohibited means.

7. Acceptable Use Policy

7.1 Permitted Uses

You may use the Service for lawful, personal educational purposes in accordance with these Terms.

7.2 Prohibited Conduct

You agree NOT to:

  • Violate any applicable laws, regulations, or third-party rights
  • Upload, submit, or request content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
  • Use the Service to generate content that promotes violence, discrimination, or illegal activities
  • Upload documents that contain malware, viruses, or other harmful code
  • Upload documents you do not have the right to share (e.g., copyrighted materials you don't own or have license to use)
  • Attempt to access other users' accounts or personal information
  • Attempt to circumvent any security measures or access controls
  • Interfere with or disrupt the Service or its infrastructure
  • Use automated systems, bots, scrapers, or similar tools to access or extract data from the Service
  • Resell, redistribute, or commercially exploit the Service without authorization
  • Use the Service to develop competing products or services
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Attempt to reverse engineer, decompile, or disassemble the Service
  • Circumvent or attempt to circumvent usage limits, rate limits, or credit restrictions

7.3 Content Moderation

We implement content moderation and safety measures to prevent misuse of our AI systems. We may refuse to process requests that violate our content policies, including but not limited to requests for harmful, illegal, or inappropriate content.

8. User Content

8.1 Your Ownership

You retain ownership of any content you upload to the Service, including documents, images, and text ("User Content"). You are solely responsible for your User Content and the consequences of uploading it.

8.2 License Grant

By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your User Content solely for the purpose of providing the Service to you. This license includes:

  • Processing documents through OCR to extract text
  • Transmitting content to our AI providers for lesson generation
  • Storing your content for lesson playback and history features
  • Creating derivative works (i.e., generated lessons) based on your content

This license terminates when you delete your User Content or your account, except that content may persist in backups for a limited time and any lessons already generated may remain in your lesson history until deleted.

8.3 Your Representations

By uploading User Content, you represent and warrant that:

  • You own the User Content or have all necessary rights and permissions to upload and share it
  • Your User Content does not infringe or violate any third-party intellectual property rights, privacy rights, or other legal rights
  • Your User Content complies with all applicable laws and these Terms
  • Your User Content does not contain any personal data of third parties without their consent

9. Intellectual Property Rights

9.1 Our Intellectual Property

The Service, including its design, features, functionality, graphics, user interface, and all underlying technology, is owned by BoardSpace and protected by intellectual property laws. This includes:

  • The BoardSpace name, logo, and branding
  • Our website and application design
  • Our proprietary algorithms and systems
  • Documentation and educational materials we create

You may not copy, modify, distribute, sell, or create derivative works based on the Service without our express written permission.

9.2 AI-Generated Content

Regarding lessons and content generated by our AI systems:

  • You may use AI-generated lessons for personal educational purposes
  • AI-generated content may not be eligible for copyright protection under applicable laws
  • You may not commercially redistribute or resell AI-generated lessons without permission
  • We do not claim ownership of AI-generated content that is derived from your User Content

9.3 Feedback

If you provide suggestions, feedback, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our products and services without any obligation to you.

10. AI-Generated Content Disclaimer

10.1 Nature of AI Content

BoardSpace uses artificial intelligence to generate educational content. It is important that you understand:

  • Not guaranteed accurate: AI-generated content may contain errors, inaccuracies, outdated information, or omissions
  • Not professional advice: Our content is for educational support only and should not be relied upon as professional, medical, legal, financial, or other specialized advice
  • Verification required: You should independently verify any information before relying on it for critical purposes
  • Limitations: AI has inherent limitations and may not fully understand context, nuance, or specialized subject matter

10.2 Your Responsibility

You are solely responsible for:

  • Evaluating the accuracy and appropriateness of AI-generated content
  • Verifying information before using it for important decisions
  • Seeking appropriate professional advice where necessary
  • Any actions taken based on AI-generated content

10.3 Not a Substitute for Education

BoardSpace is a supplementary educational tool. It is not designed to replace formal education, professional instruction, tutoring, or official educational curricula. We encourage users to use our Service as one of many resources in their learning journey.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR QUALITY OF ANY CONTENT
  • WARRANTIES THAT ANY ERRORS WILL BE CORRECTED

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • BOARDSPACE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE
  • THIS INCLUDES DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES
  • OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless BoardSpace, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any applicable laws or third-party rights
  • Any dispute between you and another user

14. Termination

14.1 Termination by You

You may delete your account at any time through your account settings or by contacting us. Upon account deletion:

  • Your personal data will be deleted within 30 days (except as required by law)
  • Any active subscription will be cancelled, and no further charges will be made
  • Unused credits and referral rewards will be forfeited

14.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without notice, if:

  • You violate these Terms or our policies
  • You engage in fraudulent, abusive, or illegal activity
  • Your use of the Service creates risk or legal liability for us
  • We are required to do so by law
  • We discontinue the Service

14.3 Effect of Termination

Upon termination:

  • Your right to access and use the Service immediately ceases
  • We may delete your account data (subject to legal retention requirements)
  • No refund will be provided for any prepaid amounts (except as required by law)
  • Sections of these Terms that by their nature should survive termination will survive

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to contact us first at legal@useboardspace.com and attempt to resolve the dispute informally. We will attempt to resolve any disputes within 30 days.

15.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

15.3 Jurisdiction

Any disputes arising from these Terms that cannot be resolved informally shall be resolved exclusively in the state or federal courts located in Los Angeles County, California. You consent to the personal jurisdiction of such courts.

15.4 Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and BoardSpace regarding the Service and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, acts of war or terrorism, labor disputes, government actions, internet outages, or failures of third-party services.

16.6 Notices

We may provide notices to you via email to the address associated with your account or by posting on the Service. You are responsible for keeping your contact information up to date.

16.7 Headings

The headings in these Terms are for convenience only and have no legal effect.
